1. Agreement to Terms
By accessing or using the services provided by AgTax Services ("Company", "we", "us", or "our"), including our website, native applications, API, and platform integrations (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our Services.
2. Description of Services
AgTax Services provides a cloud-based platform and consulting offerings for corporate financial management, including but not limited to:
- Automated payroll processing and direct deposits
- Tax document preparation (W-2, 1099, corporate returns)
- Financial reporting and bookkeeping integrations
- Advisory and strategic corporate accounting services
3. User Responsibilities & Accounting Accuracy
You are solely responsible for verifying the accuracy of all employee data, hours worked, wage rates, and business expenses submitted into our platform. AgTax Services computes payroll and tax liabilities based exclusively on the data provided by you or your authorized third-party integrations. We are not liable for penalties, fines, or interest resulting from inaccurate, late, or falsified data submitted by you.
4. Payment & Fees
Certain aspects of the Services may be provided for a fee or other charge. If you elect to use paid aspects of the Services, you agree to the pricing and payment terms listed on our platform or outlined in your custom enterprise agreement. We reserve the right to change our prices at any time, provided we issue a minimum 30-day notice for existing active subscriptions.
5. Limitation of Liability
In no event shall AgTax Services, its directors, employees, or partners, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; or (iii) unauthorized access, use, or alteration of your transmissions or content.
6. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
